These General Terms and Conditions apply to the Virtual Office service we (Paranest Inc. hereafter “Paranest”) provide to the User.
Business Address Usage
The User is responsible for modifying changes in their business at the Registrar of Companies & Business (all jurisdictions apply) if they are using the Company’s address as their registered office address. Only the registered company would be the user on record for selected purposes. Paranest is not responsible for any of the User’s business, actions or activities and does not take any liability whatsoever and remains irrevocably indemnified by clients, associates, corporation etc. Within ten (10) days of the Termination of this Agreement, the User will remove the business address provided by Paranest on all its Digital Platforms and Marketing Materials. Failure to do so, Paranest has the right to charge the User for all the periods the address is used after the Termination of this Agreement.
Mail & Parcel Handling
Paranest will not be responsible for any loss of parcel packages/mails/faxes if the User’s provided name or suite number is not addressed by the sender. Staff of Paranest have no obligation to open or read any of the parcel packages/mails/faxes belonging to the undersigned person or his/her partners verbally over the phone at any moment, and have no obligation to dispose of any parcel packages/mails/faxes on behalf of the undersigned person or his/her partners, even if the parcel packages/mails/faxes are deemed unimportant or unnecessary to him/her. All parcel packages/mails/faxes must be collected within 5 days of the email notification sent to the User’s email on record by Paranest. Failure to do so, the parcel packages/mails/faxes may be returned to sender. In which case, Paranest reserves the right to return the parcel packages/mails/faxes to the sender at the cost of the User.
Mail or parcel packages should not exceed the below size or weight:

Boardroom Usage/Access
The User may directly book and use the boardroom facilities for professional meetings, excluding public holidays, Statutory Holidays, and on a first-come first-serve basis subject to availability. Should the User request the usage of the boardroom for more than the agreed hours, a fee will be charged accordingly. After usage, the User should return the boardroom into its original state. In case of use of any IT equipment’s (TV Screen, remote control, etc.), the user will return the equipment to Paranest as it was provided. Remove/dispose of any leftovers and/or garbage after boardroom usage and leave it in the same state as provided.
Payments
The User agrees to pay for the service on a month-to-month basis, and as per the selected package rate plus HST. The User will pay for the duration of the term of this agreement, all charges for services rendered by Paranest at the rates stipulated. The monthly subscription is payable in advance on the first of every month, till this Agreement ends. The User agrees that should they default in payment or in the performance of any terms under these terms & conditions, Paranest shall give written notice of default and allow the user five business days to rectify the default. If the default has not been resolved within the said time period, Paranest may without further notice terminate the services. In the event of changes to the User’s Credit Card, the user is responsible for updating it with Paranest to avoid any decline payments. This agreement may be terminated at the Paranest’s discretion and the User shall forthwith pay all dues owing up to the date of such termination.
Cancellation Policy
The User may cancel the services provided by Paranest no less than ten (10) days before next period’s payment by providing written notice to Paranest. If Paranest is no longer able to provide the services in this Agreement, then this agreement will end, and the User will only have to pay monthly fee up to the date it ends and for the additional services the User has used. In case of cancellation, NO charges are to be refunded under any circumstances. Ending this Agreement immediately: to the maximum extent permitted by applicable law, Paranest may put an end to this Agreement immediately by giving the User notice and without need to follow any additional procedure if; the User becomes insolvent, bankrupt, goes into liquidation or becomes unable to pay its debts as they fall due, is in breach of one of its obligations which cannot be put right. If Paranest puts an end to this Agreement for any of the above reasons, it does not relieve the User of any outstanding obligations, including the payment of any additional services used as well as the monthly fee for the User that was not cancelled.
Compliance
The User can only register one (1) company name per selected package. Paranest and its staff have NO obligation to handle and/or settle any disputes between the User and their counterparts or business associates. The User will not do anything illegal that is in any way connected to Paranest. The User may not behave in a way that will interrupt the services of Paranest and Paranest’s other Clients such as damaging properties, being noisy, or harassment. Failure to do so may result in termination of any/all services. The User is subject to and under the jurisdiction of Canada & Ontario provincial laws. The User hereby confirms that their business and actions are in accordance with Canada & Ontario provincial laws and the User confirms to conduct their legal and professional business and activities in conformity.
Business Operation
The User may not carry on a business that competes with Paranest business of providing serviced offices and flexible working. The User may not use Paranest name (or that of Paranest’s affiliates) in any way in connection with the User’s business. The User is only permitted to use the address as the User’s registered office address if it is permitted by both law and if Paranest has given prior written consent (given the administration there is an additional fee chargeable for this service). The User must only use the accommodation for office business purposes. If Paranest decided that a request for any particular service is excessive, Paranest reserves the right to charge an additional fee.
